These Terms of Service ("Terms") are a legal agreement between RS Business Investments (Pty) Ltd, trading as StayBlock ("StayBlock", "we") and the hotel, property, or individual signing up to use the platform ("Hotel", "you").
StayBlock provides a hotel revenue optimization platform that:
Performance-based fee: StayBlock charges 9% of incremental revenue directly attributable to bookings created on inventory that was made available through the StayBlock optimization process.
What "incremental revenue" means: Revenue from bookings that fill nights that were previously unbookable as isolated gaps. Your existing baseline revenue is not affected.
Billing cycle: Fees are calculated and invoiced weekly. Payment is processed via Paystack. You authorize StayBlock to collect fees automatically from your registered payment method.
Disputes: Fee disputes must be raised within 30 days of invoice. Email admin@rsbi.co.za with the invoice reference.
To use StayBlock, you grant us read and write access to your PMS reservation data as required to deliver the service. You represent that you have the right to grant this access.
We will only modify reservations in your PMS as explicitly authorized through the StayBlock approval workflow. We will not make unsupervised changes to confirmed guest bookings.
You remain the data controller for all guest personal data. StayBlock processes guest data solely as your data processor under the terms of our Privacy Policy.
You are responsible for obtaining guest consent for room changes, whether via pre-stay communications, your booking terms, or direct guest communication. StayBlock provides tools to facilitate consent workflows but does not independently solicit consent from your guests.
You indemnify StayBlock against claims arising from guest dissatisfaction related to room moves that you authorized through the platform.
Either party may terminate this agreement at any time with 7 days' written notice to admin@rsbi.co.za. There are no cancellation fees or minimum contract periods.
On termination, your PMS credentials will be deleted within 48 hours and your data will be retained per the Privacy Policy retention schedule unless you request earlier deletion.
We aim for 99.5% uptime but do not guarantee it. StayBlock is not liable for revenue loss resulting from platform downtime, PMS connectivity issues, or events outside our reasonable control.
Our total liability to you in any 12-month period is capped at the fees you paid to StayBlock in the preceding 3 months.
StayBlock's algorithms, platform code, and optimization logic are our proprietary intellectual property. Your hotel data remains yours. We do not claim ownership of any data you provide.
We may update these Terms from time to time. Material changes will be communicated by email at least 14 days before taking effect. Continued use of StayBlock after that date constitutes acceptance.
These Terms are governed by the laws of the Republic of South Africa. Any disputes will be resolved in the courts of South Africa.
